The entire contents of the Service are protected by international copyright and trademark laws and other proprietary rights. The owners of the copyrights and trademarks are Uplatz, its affiliates and/or other third party licensors.

YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SERVICE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE.

You may print and download portions of material from the different areas of the Service solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials, and not to share any material that you paid for with anyone else who has not also purchased a license for that material.

You must not:

Usage Terms

1. You must be 13 years or older to use Website and Service.
2. You must be a human to open an account. Accounts registered by "bots" or other automated methods are not permitted.
3. You must provide your legal full name, valid email address, zip code, and any other information requested in order to complete the signup process.
4. You are responsible for maintaining the security of your account and password. Uplatz will not be liable for any loss or damage from your failure to comply with this security obligation.
5. You agree not to upload any copyrighted, trademarked, or proprietary materials on the Service without the expressed permission of the owner.
6. You agree to use the Service only for lawful purposes and agree to not use the Service in any way that will infringe upon the use or rights of any other user.
7. You must notify us in writing immediately if you become aware of any unauthorized use of your account.
8. You may cancel your account on our website using your account settings on the website.

Terms of conduct

Your use of the Service is subject to all applicable laws and regulations, and you are solely responsible for the substance of your communications through the Service. You agree that you will not upload, share, post, or otherwise distribute or facilitate distribution of any User Submission — including text, communications, software, images, sounds, data, or other information — that:

1. is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies;

4. constitutes unauthorized or unsolicited advertising, junk or bulk email (also known as "spamming"), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;
5. contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party; or
6. impersonates any person or entity, including any of our employees or representatives.

We neither endorse nor assume any liability for the contents of any User Submission. We generally do not pre-screen, monitor, or edit User Submissions. However, we and our agents have the right at their sole discretion to remove any User Submission or other content that, in our judgment, does not comply with these Terms of Service and any other rules of user conduct for the Service, or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing any such User Submission or other content. You hereby consent to such removal and waive any claim against us arising out of such removal of any User Submission, whether it is your own or another user’s.

You may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. Not all parts of the Service may be available to you or other authorized users of the Service. You shall not interfere with anyone else’s use and enjoyment of the Service. Users who violate systems or network security may incur criminal or civil liability.

You agree that we may at any time, and at our sole discretion, terminate your membership, account, or other affiliation with the Service without prior notice to you for violating any of the above provisions. In addition, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

Rules for Skill-seekers/learners

1. You agree to accept all of the terms and conditions including the cancellation policy listed in the Service when you agree to learn a skill on Uplatz.
2. The Skills offered on uplatz are offered directly by the experts/tutors. Uplatz is not responsible or liable for any information on its Service listings or profiles.
3. Uplatz is not responsible for any changes made to a skill posted by the expert/tutor.
4. You agree to follow all reasonable rules set by an expert/tutor with respect to a teaching session, and not to take any actions to interfere with the expert/tutor.
5. You agree to attend each learning session solely for educational purposes.
6. You may access learning session content for your information and personal use only. You shall not download any content unless you see a “download” or similar link displayed by Uplatz on the Service.

Rules for Experts/Tutors

1. By posting a skill on Uplatz, you take full responsibility for the content of the Service offered.
2. By posting a skill on Uplatz, you understand that it is publicly available to be viewed and approached by any skill-seeker/learner.
3. By posting a skill on Uplatz, you agree to honor any approach made through uplatz.com at the price and time listed in the skill-post, and not to refuse communications by any student for any discriminatory or other illegal reason.
4. By posting a skill on Uplatz, you grant us the right to place advertisements on your content at our sole discretion.
5. You agree that any content you submit to the Service will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material.
6. You represent and warrant to Uplatz that you are qualified to teach the skills, that you posted and that you will at all times conduct yourself in a professional manner and in compliance with all applicable laws.
7. You agree not to abuse your students’ personal information. Abuse is defined as using personal information for any purpose other than those explicitly specified in your skill-post, without the students’ prior consent.
8. You understand that, if you teach a skill-seeker/learner, your skill-seeker/learner will have the opportunity to review their experience with you. We cannot control the contents of any such review and will not be held responsible for any information or opinions that a user may include in any such review.
9. Uplatz reserves the right to, but is under no obligation, delete the posted skill at any time and for any reason.

Cancellations, Refunds and suspension of account

We may suspend your account or Cancel your account at any time in our sole discretion without notice or explanation.

Limited warranties

We do not warrant or represent:

1. the completeness or accuracy of the information published on our website;
2. that the material on the website is up to date; or
3. that the website or any service on the website will remain available.

We reserve the right to discontinue or alter any or all of our website services, and to stop publishing our website, at any time in our sole discretion without notice or explanation; you will not be entitled to any compensation in this case.

To the maximum extent, we exclude all representations and warranties relating to the subject matter of these terms and conditions, our website and the use of our website.

Limitations and exclusions of liability

Nothing in these terms and conditions will:

1. limit or exclude any liability for death or personal injury resulting from negligence;

We will not be liable to you in respect of any loss or corruption of any data, database or software.

We will not be liable to you in respect of any special, indirect or consequential loss or damage.

You agree that you will not bring any claim personally against our officers or employees in respect of any losses you suffer in connection with the website or these terms and conditions.

Breaches of these terms and conditions

If you breach these terms and conditions in any way, or if we reasonably suspect so, we may:

1. send you one or more formal warnings;
2. temporarily suspend your access to our website;
3. suspend or delete your account on our website;
4. Commence legal action against you.

Upon a request by us, you agree to defend, indemnify, and hold us and the other Uplatz Parties harmless from all liabilities, claims, and expenses, including attorneys’ fees, that arise from your violation of these Terms of Service or any of the other Governing Documents, or other negligent or wrongful conduct. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
